Please read these Terms and Conditions ("Terms") carefully before using the services provided by Arise and Shine Media ("Company," "we," "us," or "our"). By accessing our website and activating our services, you agree to be bound by these Terms.

1. DESCRIPTION OF SERVICE

Arise and Shine Media provides AI-driven communication tools under the brand name "The Shield" (Level 1). The Shield utilizes "Skyler," an AI Agent designed for lead capture, voice interaction, and scheduling. The service is deployed in one of two operating modes selected by the client:

The 24/7 AI Receptionist: Pure AI mode where Skyler handles all incoming traffic.

The Safety Net: A Hybrid "3-Ring Fail-Safe" mode where Skyler intercepts missed calls. All service data, call recordings, and transcripts are provided via a private Management Portal.

2. SUBSCRIPTION AND PRICING

By activating our services, you agree to the monthly recurring subscription fee for your selected deployment mode:

The 24/7 AI Receptionist (Pure AI): $397.00 per month.

The Safety Net (Hybrid / 3-Ring Fail-Safe): $347.00 per month. Subscriptions are billed in advance on a monthly basis. You may cancel your subscription at any time; however, no refunds will be issued for partial months of service.

3. THE TECH-TEST CREDIT

If you participated in the "Skyler Sandbox" demonstration, a one-time Tech-Test Credit of $199.00 has been applied to your account to waive the standard Implementation and Activation Fee. This credit is a non-monetary incentive awarded for your participation in the technology test and is contingent upon the successful activation of a monthly subscription.

4. SMS Messaging Terms

Arise and Shine Media (the "Company") operates an SMS program.

SMS Program Description: Users will receive SMS notifications, demo alerts, lead summaries, and account updates.

Opt-Out Instructions: To stop receiving messages, reply STOP to any text message.

Help Instructions: Reply HELP for more information or contact support at [[email protected]].

Message Frequency: Message frequency varies.

Rates: Message and data rates may apply.

Carrier Liability: Carriers are not liable for delayed or undelivered messages.

5. LIMITATION OF LIABILITY & AI DISCLAIMER

Our services utilize Artificial Intelligence to interact with your customers. While we strive for 100% accuracy, you acknowledge that AI "hallucinations" or errors may occur. Arise and Shine Media is not liable for:

Inaccurate information provided by the AI regarding your business pricing, scheduling, or services.

Technical failures of third-party telephony or hosting providers.

Lost revenue due to missed calls or system downtime. The client is responsible for reviewing call transcripts in the Management Portal to ensure business accuracy.

6. INTELLECTUAL PROPERTY

All technology, including the Skyler AI architecture and the proprietary workflows for The Shield and The Knockout, remain the sole intellectual property of Arise and Shine Media.

7. LEVEL 2: THE KNOCKOUT WAITLIST

Users of The Shield may be invited to join the waitlist for The Knockout (Level 2). This is a lead generation offensive designed to supplement your existing Shield protection. Participation in the waitlist does not guarantee immediate access to Level 2 services, which are subject to geographical availability and additional terms.

8. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.
